Terms & Conditions
Last updated: 23 October 2026
These Terms of Service ("Terms") govern your access to and use of the Seditech Services website, project builder, client portal, and related services (collectively, the "Services"). The Services are operated by Seditech Services ("Seditech Services", "we", "us", or "our").
By accessing or using the Services, creating an account, submitting a project request, or making a payment, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, and able to enter into a binding contract to use the Services. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Accounts
You agree to provide accurate, current, and complete information when creating an account or submitting a project request. You are responsible for keeping your login credentials secure and for all activity that occurs under your account.
You must notify us promptly if you believe your account has been compromised or used without authorisation. We may suspend or restrict an account where we reasonably believe it is necessary to protect the Services, our clients, or other users.
3. The Services
The Services include our website, information about our work, the project builder, the client portal, quotation and payment features, and related communications. We may add, change, suspend, or discontinue features from time to time.
Content on the Services is provided for general information. It is not legal, financial, tax, or other professional advice, and you should obtain independent advice where appropriate.
We work with clients internationally. You are responsible for ensuring that your use of the Services and any deliverables complies with the laws that apply to you. Delivery methods, payment options, and timelines may vary depending on your location and third-party providers.
4. Project requests, estimates, and quotations
Estimates generated by the project builder are indicative only and are based on the options and information you provide. They are not a binding offer and do not create a contract for development work.
A binding project scope, price, timeline, and payment schedule will be set out in a written quotation, proposal, statement of work, or similar document issued by us. Quotations may be valid for a stated period and may change if your requirements, materials, or circumstances change.
No development work is required to begin until the applicable quotation or statement of work has been accepted and any required deposit has been received. We may decline a project request for any lawful reason.
5. Fees, invoicing, and payment
You agree to pay the fees set out in the applicable quotation, invoice, or statement of work. Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes, duties, or local charges that apply in your jurisdiction.
Payments may be made through third-party payment providers. By submitting payment information, you authorise us and our payment providers to charge the applicable amounts. We do not store full payment card details.
Deposits, milestone payments, and final payments are due as stated in the applicable quotation or invoice. If an invoice is overdue, we may pause work, withhold deliverables, or suspend access to the Services until payment is received, where permitted by law.
Third-party payment providers may charge their own fees, and currency conversion or processing charges may apply. Refunds are governed by the applicable quotation, these Terms, and any rights you have under applicable consumer law. Unless otherwise agreed or required by law, fees for work already performed and custom development work are non-refundable.
6. Client responsibilities
To help us deliver the Services, you agree to:
- provide accurate and complete information about your requirements;
- provide content, materials, access, and approvals promptly;
- ensure you have the rights and permissions needed for any content or materials you provide;
- review and respond to requests for feedback or approval within reasonable timeframes;
- maintain backups of your own data and content; and
- comply with applicable laws and these Terms.
Delays caused by missing information, materials, access, or approvals may affect timelines and costs.
7. Intellectual property
The Services, including the website design, codebase, text, graphics, logos, software, and functionality, are the intellectual property of Seditech CORE and are co-owned by CR8TIVEMPIRE, and are operated by Seditech Services. All rights are reserved.
You may use the Services only as permitted by these Terms. You may not copy, reproduce, modify, distribute, publish, sell, license, reverse engineer, scrape, or create derivative works from the Services or their content without our prior written permission, except where permitted by law.
You retain ownership of content and materials you provide to us. You grant us a limited, non-exclusive licence to use, reproduce, and process that content as necessary to provide the Services, comply with law, and protect our legal rights.
Unless a quotation or statement of work says otherwise, ownership of custom project deliverables transfers to you when you have paid all amounts due for those deliverables. We retain ownership of our pre-existing materials, tools, frameworks, know-how, and reusable components, and we grant you a licence to use them as part of the delivered project.
Until full payment is received, we retain ownership of the deliverables. We may showcase a completed project in our portfolio only with your permission or as otherwise agreed in writing. Feedback and suggestions you provide may be used by us without restriction or obligation.
8. Acceptable use
You agree not to:
- use the Services for unlawful, fraudulent, or harmful purposes;
- infringe the intellectual property, privacy, or other rights of any person;
- upload or transmit viruses, malware, or other harmful code;
- attempt to gain unauthorised access to the Services, accounts, or systems;
- interfere with or overload the Services or our infrastructure;
- scrape, harvest, or extract data from the Services without permission;
- reverse engineer or attempt to discover the source code of the Services, except where permitted by law;
- impersonate another person or misrepresent your affiliation; or
- use the Services in a way that could damage our reputation or the experience of other users.
9. Third-party services
The Services may rely on or link to third-party services, including payment processors, hosting providers, analytics tools, and APIs. Those services are governed by their own terms and privacy policies. We are not responsible for the availability, content, or practices of third parties that we do not control.
10. Confidentiality
Each party may receive confidential information from the other. The receiving party agrees to use confidential information only to perform obligations or exercise rights under these Terms, to protect it with reasonable care, and not to disclose it to third parties except to employees, contractors, or advisers who need to know and are bound by confidentiality obligations.
These obligations do not apply to information that is public, independently developed without use of the confidential information, lawfully received from a third party, or required to be disclosed by law. This section survives the end of these Terms.
11. Support and maintenance
Unless a separate maintenance or support agreement applies, we are not obligated to provide ongoing support, updates, or maintenance after a project is delivered. We may offer support or maintenance on terms agreed separately. Response times are estimates unless expressly agreed otherwise.
12. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available". We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any content or result will be accurate or reliable.
We do not guarantee any particular business result, ranking, revenue, or outcome from using the Services. Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law.
13. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Services or these Terms.
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid us for the affected Services in the twelve (12) months before the event giving rise to the claim, or (b) USD 100.
Nothing in these Terms limits or excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded by law.
14. Indemnity
You agree to indemnify and hold harmless Seditech Services, Seditech CORE, CR8TIVEMPIRE, and their officers, employees, and contractors from claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from your content, your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
15. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services if you breach these Terms, fail to pay amounts due, use the Services unlawfully or in a way that creates risk, or if we are required to do so by law.
On termination, you must pay any outstanding amounts for work performed or services provided. Sections that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, and governing law, will survive. We may delete or retain information in accordance with our Privacy Policy and legal obligations.
16. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, internet or utility failures, cyber incidents, government action, labour disputes, or third-party service outages. We will take reasonable steps to resume performance.
17. Disputes and consumer rights
We want to resolve concerns quickly. If you have an issue with the Services, please contact us first at INFO@SeditechSERVICES.TOP and we will try in good faith to resolve it through discussion within thirty (30) days.
If we cannot resolve the matter informally, either party may use the courts or dispute-resolution process available in the relevant jurisdiction. Nothing in these Terms limits any mandatory rights you have under the consumer laws of your country of residence, and nothing prevents either party from seeking urgent injunctive or other equitable relief.
18. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Where changes are material, we will take reasonable steps to notify you. Your continued use of the Services after the updated Terms take effect means you accept the updated Terms.
19. General
These Terms, together with any applicable quotation, statement of work, and our Privacy Policy, form the entire agreement between you and us regarding the Services and supersede any prior discussions or agreements on the same subject.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, restructuring, or sale of assets.
Notices to us should be sent to INFO@SeditechSERVICES.TOP. We may send notices to the email address associated with your account or post them on the Services. Headings are for convenience only and do not affect interpretation.
